Trade, Wholesale & Design Studio Terms & Conditions

These Terms & Conditions apply to all approved Trade, Wholesale, Stockist and Design Services clients of Moss Made ("Moss Made", "we", "us" or "our").By applying for an account, placing an order, engaging our design services, or purchasing products from Moss Made, you agree to be bound by these Terms & Conditions. Moss Made is a trade and wholesale supplier and interior design studio. Our website is publicly accessible; however, purchasing is available only to approved account holders.

1. DEFINITIONS & INTERPRETATION

In these Terms & Conditions, unless the context requires otherwise: Business Day means a day other than a weekend or public holiday in Victoria, Australia. Customer means an approved Trade client, Wholesale client, Stockist, or Design Services client. Design Services means interior design, styling, specification, procurement, consultancy or related services provided by Moss Made. Force Majeure means any event beyond reasonable control, including but not limited to natural disasters, supply chain disruption, strikes, government action, or carrier delays.Intellectual Property means all copyright, designs, trademarks, trade dress, product designs, photography, content, branding and proprietary materials owned by Moss Made. MOQ means minimum order quantities applicable to Wholesale purchases. Order means any confirmed order for Products placed by a Customer and accepted by Moss Made. Products means all goods supplied by Moss Made, including homewares, decor and related items. Trade Account means an approved Trade Tier 1 or Trade Tier 2 account. Wholesale Account means an approved Wholesale or Stockist account.

2. ACCOUNT ELIGIBILITY & APPROVAL

2.1 Trade & Wholesale Access

Trade and Wholesale accounts are approved at the sole discretion of Moss Made.Applications are assessed based on business type, industry relevance, intended use of our Products and overall brand alignment.Approval applies only to the registered business name and ABN supplied during application.Any significant change to ownership, business structure or sales channels must be advised in writing.

2.2 Right to Refuse or Revoke

Moss Made reserves the right to refuse, suspend or revoke any account at any time if: information provided is inaccurate or misleading, the Customer breaches these Terms, brand alignment is compromised, or payment obligations are not met.

3. TRADE ACCOUNTS

3.1 Trade Tier Structure

Approved Trade accounts receive access to exclusive trade pricing. Minimum order value: $300 AUD (including GST). Shipping is calculated at checkout. Trade account eligibility may be reviewed periodically at Moss Made's discretion.

3.2 Trade Use

Trade Products are supplied for professional project use, client specification, styling and installation. Trade Customers may not resell products or represent themselves as an authorised Moss Made stockist unless separately approved under a Wholesale Account.

4. WHOLESALE & STOCKIST TERMS

4.1 Order Minimums

Opening order minimum: $1,000 AUD (inc. GST). Reorder minimum: $500 AUD (inc. GST).

4.2 Minimum Order Quantities (MOQ)

Wholesale MOQs apply per style/colour unless otherwise specified: Cushions: 4 per style/colour, Throws: 2 per style, Ceramics / small decor: 4 per style. Sculptural / stone items: 2 per style. Mixed colour assortments may be permitted at Moss Made's discretion.

4.3 Territory Protection

Territory protection may be offered at Moss Made's discretion based on location, business type, product presentation and anticipated annual spend. No exclusivity is granted unless confirmed in writing.

4.4 Resale & Brand Alignment

Wholesale Customers: may sell in-store and online only with Moss Made's written approval, may not sell via third-party marketplaces (Amazon, eBay, Catch, Etsy, etc.), must present Products in a manner aligned with Moss Made's brand values. White labelling or rebranding of Moss Made Products is strictly prohibited.

5. ORDERS, PRICING & PAYMENT

5.1 Orders

All Orders are subject to acceptance by Moss Made. Orders become binding once confirmed. Orders may not be cancelled without written approval. Approved cancellations may incur a cancellation fee of up to 30% of the Order value.

5.2 Pricing

All prices are in Australian Dollars (AUD) and include GST unless otherwise stated. Trade and Wholesale pricing is confidential and provided exclusively to approved account holders. Customers must not disclose pricing or commercial terms to any third party without prior written consent from Moss Made. Moss Made reserves the right to amend pricing at any time. Pricing changes will not affect confirmed Orders.

5.3 Payment Terms

Payment in full is required prior to Products being allocated, packed or dispatched. No credit facilities are currently offered. Accepted payment methods are displayed at checkout .Payment processing fees may apply where applicable.

6. SHIPPING & DELIVERY

6.1 Shipping

Trade shipping is calculated at checkout. Wholesale freight is quoted separately unless otherwise agreed. Local collection is available only by prior arrangement.

6.2 Delivery Timeframes

Delivery timeframes are estimates only. Moss Made is not liable for delays caused by freight carriers, suppliers, customs or Force Majeure events.

6.3 Delivery Responsibility

Customers are responsible for ensuring suitable delivery access. Additional charges may apply for re-delivery, failed deliveries, waiting time or difficult access. Risk transfers to the Customer once Products have been dispatched.

7. INSPECTION, RETURNS & DAMAGES

7.1 Inspection on Delivery

Customers must inspect all Products immediately upon delivery. Any claim for transit damage, shortages, defects or incorrect items must be submitted in writing within 48 hours of receipt, including: order number, product details, clear photographic evidence, original packaging retained. Claims submitted after this timeframe may not be accepted and is up to the discretion of Moss Made.

7.2 Transit Damage

Where freight has been arranged by Moss Made, we will assist with freight claims where appropriate. Where freight has been arranged by the Customer, Moss Made accepts no liability once Products have been collected.

7.3 No Change-of-Mind Returns

Trade and Wholesale purchases are final. Change-of-mind returns are not accepted.

7.4 Manufacturing Defects

Manufacturing defects will be assessed case-by-case. If a claim is accepted, Moss Made may, at its discretion: repair the Product, replace the Product (or supply a comparable alternative), issue a refund or credit.

7.5 Exclusions

Returns and claims will not be accepted for: clearance items, samples, custom or made-to-order items, normal wear and tear, natural variations in materials, colour, finish or texture.

7.6 Natural Materials

Many Moss Made Products are handcrafted from genuine natural materials including marble, travertine and other natural stone. Variations in colour, veining, texture, pitting, markings, pattern and shape are natural characteristics of these materials and are not considered defects. Each piece is unique and may differ from product photography. These natural variations do not constitute grounds for return, exchange or warranty claim.

8. WARRANTIES

8.1 Statutory Rights

Nothing within these Terms excludes rights available under the Australian Consumer Law.

8.2 Product Characteristics

Product photography and renders are intended as a guide only. Due to natural material variation, lighting conditions and individual screen settings, Products may differ slightly from images shown.

8.3 Commercial Use

Products used within commercial, hospitality or high-traffic environments may experience accelerated wear. Any warranties are limited to those required under Australian law unless otherwise agreed.

8.4 Care & Use

Customers must follow Moss Made care instructions. Failure to do so may void any applicable warranty.

9. DESIGN SERVICES TERMS

9.1 Scope

Design Services may include interior design, styling, specification, procurement, consultation and related services, as agreed in writing per project.

9.2 Fees & Payments

Design Services fees are quoted per project or service and must be paid in accordance with the agreed proposal. All fees are payable upfront unless otherwise stated.

9.3 Intellectual Property

All concepts, drawings, specifications, moodboards and design materials remain the intellectual property of Moss Made at all times. Upon full payment of all applicable fees, the client is granted a non-exclusive, non-transferable licence to use the design materials for the agreed project only. The design materials may not be reproduced, adapted, shared or used for any other purpose without prior written consent from Moss Made.

9.4 Variations

Any changes to an agreed scope may incur additional fees and revised timelines.

9.5 Procurement

Where Moss Made procures products, furnishings or materials on behalf of a Design Services client, such procurement is governed by the terms set out in the applicable Design Services Agreement. These Terms & Conditions apply only where expressly referenced or where no separate agreement exists.

10. INTELLECTUAL PROPERTY, BRANDING & MARKETING

10.1 Ownership

All Intellectual Property remains the sole property of Moss Made.

10.2 Use of Assets

Customers may only use Moss Made imagery, branding and marketing assets with prior written approval, and strictly in accordance with brand guidelines.

10.3 Online Use & Resale

Customers may use Moss Made product imagery only with prior written approval. Images must not be altered in a manner that misrepresents the Product or the Moss Made brand.

10.4 SEO & Brand Protection

Customers must not engage in marketing or SEO practices that misrepresent Moss Made or diminish brand visibility.

11. LIABILITY, TERMINATION & GENERAL

11.1 Limitation of Liability

To the maximum extent permitted by law, Moss Made is not liable for indirect, consequential or economic loss, including loss of profit or business interruption. Total liability is limited to the value of the relevant Order.

11.2 Indemnity

Customers indemnify Moss Made against losses arising from misuse of Products, breach of these Terms, or unauthorised resale or representation.

11.3 Termination

Moss Made may suspend or terminate any account immediately if these Terms are breached, payments are overdue, or brand alignment is compromised.

11.4 Confidentiality

All pricing, trade information and commercial terms are confidential and must not be disclosed.

11.5 Force Majeure

Moss Made is not liable for delays or failure caused by events beyond reasonable control.

11.6 Governing Law

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of Victorian courts.
