Trade, Wholesale & Design Studio

These Terms & Conditions apply to all Trade, Wholesale and Design Studio clients of Moss Made (“Supplier”, “we”, “us”, “our”). By accessing our website, applying for an account, placing an order, or engaging our services, you agree to be bound by these Terms & Conditions.

Moss Made operates exclusively as a Trade and Wholesale supplier and Interior Design Studio. We do not sell directly to the general public.

1. DEFINITIONS & INTERPRETATION

In these Terms & Conditions, unless the context requires otherwise:

Business Day means a day other than a weekend or public holiday in Victoria, Australia.

Customer means an approved Trade client, Wholesale client, Stockist, or Design Services client.

Design Services means interior design, styling, specification, procurement, consultancy or related services provided by Moss Made.

Force Majeure means any event beyond reasonable control, including but not limited to natural disasters, supply chain disruption, strikes, government action, or carrier delays.

Intellectual Property means all copyright, designs, trademarks, trade dress, product designs, photography, content, branding and proprietary materials owned by Moss Made.

MOQ means minimum order quantities applicable to Wholesale purchases.

Order means any confirmed order for Products placed by a Customer and accepted by Moss Made.

Products means all goods supplied by Moss Made, including homewares, decor and related items.

Trade Account means an approved Trade Tier 1 or Trade Tier 2 account.

Wholesale Account means an approved Wholesale or Stockist account.

 

2. ACCOUNT ELIGIBILITY & APPROVAL

2.1 Trade & Wholesale Access

All Trade and Wholesale accounts are approved manually at Moss Made’s discretion. Approval is based on business type, brand alignment, and intended use of our Products.

Approval applies only to the registered business name and ABN supplied at application. Any material change to business structure, ownership, or sales channels must be disclosed in writing.

2.2 Right to Refuse or Revoke

Moss Made reserves the right to refuse, suspend or revoke any account at any time if:

  • information provided is inaccurate or misleading

  • the Customer breaches these Terms

  • brand alignment is compromised

  • payment obligations are not met

 

3. TRADE ACCOUNTS

3.1 Trade Tier Structure

Trade Tier 1

  • 20% discount off RRP

  • Minimum order value: $300 AUD

  • Shipping calculated at checkout

Trade Tier 2

  • 30% discount off RRP

  • Minimum order value: $300 AUD

  • Free shipping on orders over $1,000 AUD

  • Tier eligibility is based on a $15,000 lifetime spend

Tier status may be reviewed periodically at Moss Made’s discretion.

3.2 Trade Use

Trade Products are supplied for professional project use, styling, and client specification. Trade Customers may not represent themselves as stockists unless separately approved under a Wholesale Agreement.

 

4. WHOLESALE & STOCKIST TERMS

4.1 Order Minimums

  • Opening order minimum: $1,000 AUD

  • Reorder minimum: $500 AUD

4.2 Minimum Order Quantities (MOQ)

Wholesale MOQs apply per style/colour unless otherwise specified:

  • Cushions: 4 per style/colour

  • Throws: 2 per style

  • Ceramics / small decor: 4 per style

  • Sculptural / stone items: 2 per style

Mixed colour assortments may be permitted at Moss Made’s discretion.

4.3 Annual Spend Requirement

Wholesale and Stockist accounts are subject to a minimum annual spend requirement, reviewed yearly. Failure to meet this may result in account review or closure.

4.4 Territory Protection

Territory protection is assessed case-by-case. Moss Made may grant geographic exclusivity at its discretion based on store location, brand alignment, product representation and annual spend. No exclusivity is implied unless agreed in writing.

4.5 Resale & Brand Alignment

Wholesale Customers:

  • may sell in-store and online only with Moss Made’s written approval

  • may not sell via third-party marketplaces (Amazon, eBay, Catch, Etsy, etc.)

  • must present Products in a manner aligned with Moss Made’s brand values

White-labelling is not permitted.

 

5. ORDERS, PRICING & PAYMENT

5.1 Orders

All Orders are binding once accepted by Moss Made. Moss Made may accept or reject any Order at its discretion.

Orders may not be cancelled once confirmed without written approval. Approved cancellations may incur a cancellation fee of up to 30% of the Order value.

5.2 Pricing

All prices are in AUD and include GST, unless stated otherwise. Pricing is confidential and must not be disclosed to third parties.

Moss Made reserves the right to adjust pricing at any time. Price changes do not affect confirmed Orders.

5.3 Payment Terms

All Orders must be paid in full upfront prior to production, allocation or dispatch. No credit terms are offered at this time.

Accepted payment methods are displayed at checkout. Payment surcharges may apply.

 

6. SHIPPING & DELIVERY

6.1 Shipping Structure

  • Trade Tier 1: shipping calculated at checkout

  • Trade Tier 2: shipping calculated at checkout, free over $1,000

  • Wholesale: shipping quoted per order

Customer-arranged freight and local pickup are not currently available.

6.2 Delivery Timeframes

All delivery timeframes are estimates only. Moss Made is not liable for delays caused by carriers, suppliers or Force Majeure events.

6.3 Delivery Responsibility

Customers must ensure safe and suitable access for delivery. Additional charges may apply for difficult access, re-delivery, or waiting time.

Risk passes to the Customer upon dispatch.

 

6. INSPECTION, RETURNS & DAMAGES

6.1 Inspection on Delivery

Customers must inspect all Products immediately upon delivery.

Any claim for transit damage, shortages, defects or incorrect items must be submitted in writing within 48 hours of receipt, including:

  • order number

  • product details

  • clear photographic evidence

  • original packaging retained

Claims submitted after this timeframe may not be accepted.

6.2 Transit Damage

Moss Made will assist with claims for transit damage where freight has been arranged by us. Where third-party carriers are involved, Moss Made accepts no liability but may assist at its discretion.

6.3 No Change-of-Mind Returns

All Trade and Wholesale sales are final. Change-of-mind returns are not accepted.

6.4 Manufacturing Defects

Manufacturing defects will be assessed case-by-case. If a claim is accepted, Moss Made may, at its discretion:

  • repair the Product

  • replace the Product (or supply a comparable alternative)

  • issue a refund or credit

6.5 Exclusions

Returns and claims will not be accepted for:

  • clearance items

  • samples

  • custom or made-to-order items

  • normal wear and tear

  • natural variations in materials, colour, finish or texture

 

7. WARRANTIES

7.1 Statutory Rights

Nothing in these Terms excludes rights under the Australian Consumer Law where applicable.

7.2 Product Characteristics

Customers acknowledge that many Moss Made Products feature natural materials and handcrafted finishes. Variations in colour, grain, texture or form are inherent and not considered defects.

7.3 Commercial Use

Products used in commercial, hospitality, rental or high-traffic environments may experience accelerated wear. Any warranties are limited to those required by law unless otherwise agreed in writing.

7.4 Care & Use

Failure to follow Moss Made care instructions will void any applicable warranty.

 

8. DESIGN SERVICES TERMS

8.1 Scope

Design Services may include interior design, styling, specification, procurement, consultation and related services, as agreed in writing per project.

8.2 Fees & Payments

Design Services fees are quoted per project or service and must be paid in accordance with the agreed proposal. All fees are payable upfront unless otherwise stated.

8.3 Intellectual Property

All concepts, drawings, specifications, moodboards and design materials remain the intellectual property of Moss Made at all times. Upon full payment of all applicable fees, the client is granted a non-exclusive, non-transferable licence to use the design materials for the agreed project only. The design materials may not be reproduced, adapted, shared or used for any other purpose without prior written consent from Moss Made.

8.4 Variations

Any changes to an agreed scope may incur additional fees and revised timelines.

8.5 Procurement

Where Moss Made procures products, furnishings or materials on behalf of a Design Services client, such procurement is governed by the terms set out in the applicable Design Services Agreement entered into between Moss Made and the client. These Terms & Conditions apply only where expressly referenced or where no separate agreement exists.

 

9. INTELLECTUAL PROPERTY, BRANDING & MARKETING

9.1 Ownership

All Intellectual Property remains the sole property of Moss Made.

9.2 Use of Assets

Customers may only use Moss Made imagery, branding and marketing assets with prior written approval, and strictly in accordance with brand guidelines.

9.3 Online Use & Resale

Approved Wholesale and Stockist Customers:

  • may sell online and in-store only with written consent

  • must clearly credit Moss Made

  • must not alter branding or imagery

  • must not sell via third-party marketplaces

Moss Made reserves the right to request removal of any unauthorised or misaligned use.

9.4 SEO & Brand Protection

Customers must not engage in marketing or SEO practices that misrepresent Moss Made or diminish brand visibility.

 

10. LIABILITY, TERMINATION & GENERAL

10.1 Limitation of Liability

To the maximum extent permitted by law, Moss Made is not liable for indirect, consequential or economic loss, including loss of profit or business interruption.

Total liability is limited to the value of the relevant Order.

10.2 Indemnity

Customers indemnify Moss Made against losses arising from misuse of Products, breach of these Terms, or unauthorised resale or representation.

10.3 Termination

Moss Made may suspend or terminate any account immediately if these Terms are breached, payments are overdue, or brand alignment is compromised.

10.4 Confidentiality

All pricing, trade information and commercial terms are confidential and must not be disclosed.

10.5 Force Majeure

Moss Made is not liable for delays or failure caused by events beyond reasonable control.

10.6 Governing Law

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of Victorian courts.
